1. The service
Sync Simple imports, exports, modifies and deletes data in QuickBooks Online companies you connect, on your instruction, from spreadsheet files you provide. It validates a file before writing, detects duplicates, links payments to the invoices and bills they pay, and records every batch so it can be reversed. It is a tool that acts on your instructions; it does not provide accounting, tax or legal advice.
QuickBooks and Intuit are trademarks of Intuit Inc. Sync Simple is independent of Intuit. Your use of QuickBooks Online is governed by Intuit’s own terms, which you remain bound by.
2. Your account
- You must be 18 or older and provide accurate account details.
- You are responsible for everyone who uses the service through your organization and for keeping sign-in credentials safe.
- You may connect a QuickBooks Online company only if you are its owner or are authorized by the owner (for example as their bookkeeper or accountant). You are responsible for having that authorization and for acting within it.
3. Your data and your responsibility for it
- You own the files you upload and the data in your QuickBooks companies. You grant us only the right to process them to provide the service, as described in the Privacy Policy.
- You review before you write. The service shows a preview, a per-row validation report and a duplicate check before anything is written, and keeps an undo for each batch. You are responsible for reviewing those results and for the correctness of what is written to your books. Undo deletes the transactions a batch created; it cannot restore anything QuickBooks itself changed afterwards.
- Modify and Delete act on live QuickBooks records you select. They are not reversible by the service beyond what QuickBooks’ own audit log offers.
- You will not upload data you have no right to process, including personal data of others without a lawful basis.
4. Acceptable use
You will not:
- use the service to break the law or Intuit’s terms, or to access a company you are not authorized for;
- probe, overload or interfere with the service or with Intuit’s APIs beyond normal use of the features;
- reverse engineer, resell or white-label the service without written permission;
- share credentials or circumvent organization boundaries.
5. Fees
The service is currently offered without charge while in early release. When paid plans launch they will be priced per connected company, and we will tell account owners the price and the start date at least 30 days in advance. Nothing is charged until you choose a plan.
6. Availability and changes
The service is in early release. We aim for it to be available continuously but do not promise any uptime level, and we may change or withdraw features with reasonable notice. Imports depend on Intuit’s API and its rate limits; an import may take time or be delayed by Intuit, and its progress is always shown in History.
7. Intellectual property
The service, its software and its brand belong to Optivane LLC. You keep all rights in your data. Feedback you give us may be used without obligation.
8. Disclaimer
The service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that it will be error-free or that every file will import as intended; that is what the preview, validation report and undo are for.
9. Limitation of liability
To the fullest extent the law allows, Optivane LLC is not liable for indirect, incidental, special or consequential damages, or for lost profits, data or goodwill, arising from the service. Our total liability for any claim is limited to the amount you paid us in the twelve months before the claim, or one hundred US dollars if you have paid nothing. Some jurisdictions do not allow these limits, in which case they apply to the extent permitted.
10. Indemnity
You will defend and hold Optivane LLC harmless from claims arising from your breach of these terms, your data, or your use of a QuickBooks company you were not authorized to use.
11. Termination
You can stop at any time by disconnecting your companies and deleting your organization or account, which deletes your data as described in the Privacy Policy. We may suspend or end access for breach of these terms or where the law requires, with notice where practical. Sections 3, 7, 8, 9, 10 and 12 survive termination.
12. Governing law
These terms are governed by the laws of the State of North Carolina, USA, and disputes will be brought in its courts, without regard to conflict-of-law rules.
13. Changes to these terms
We may update these terms. We will post the new version here with a new effective date and, for material changes, email account owners before they take effect. Continuing to use the service after that date means you accept the new terms.
